6. USER RESPONSIBILITY: From time to time IPCNY may invite people to share content. Please know that content will be reviewed by IPCNY staff and may be reproduced by IPCNY in all media now known or hereinafter devised.
6.1 SECURITY: The IPCNY Website. By creating accounts and passwords on the IPCNY Website, users agree to maintain the confidentiality of their login credentials and are responsible for restricting access to their personal computer and mobile devices. User agrees to use the IPCNY Website for lawful purposes only and will not participate in any action that will compromise the security of the IPCNY Website or damage the IPCNY Website and their content.
7. PURCHASING ON THE IPCNY WEBSITE: IPCNY has the right to refuse, limit, or cancel any orders placed on the IPCNY Website. You may only order products if you are old enough to enter into a contract to purchase such goods, feature or services. IF YOU ARE A CALIFORNIA RESIDENT, YOU HEREBY WAIVE CALIFORNIA CIVIL CODE SECTION 1542 IN CONNECTION WITH THE FOREGOING, WHICH STATES: "A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR."
14. DISPUTE RESOLUTION: PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS.
14.1 Except for either party's claims of infringement or misappropriation of the other party's patent, copyright, trademark, or trade secret, any and all disputes between you and IPCNY arising under or related in any way to these Terms, the use of the IPCNY Website, or purchases made from IPCNY, must be resolved through binding arbitration as described in this section. This agreement to arbitrate is intended to be interpreted broadly. It includes, but is not limited to, all claims and disputes relating to your use of any of the Digital Services.
14.2 YOU AGREE THAT BY ENTERING INTO THIS AGREEMENT, YOU AND IPCNY ARE EACH WAIVING THE RIGHT TO TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION. YOU AND IPCNY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. ANY ARBITRATION WILL TAKE PLACE ON AN INDIVIDUAL BASIS; CLASS ARBITRATIONS AND CLASS ACTIONS ARE NOT PERMITTED.
14.3 The arbitration will be governed by the Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes of the American Arbitration Association ("AAA"), as modified by this section. For any claim where the total amount of the award sought is $10,000 or less, the AAA, you and IPCNY must abide by the following rules: (a) the arbitration shall be conducted solely based on written submissions; and (b) the arbitration shall not involve any personal appearance by the parties or witnesses unless otherwise mutually agreed by the parties. If the claim exceeds $10,000, the right to a hearing will be determined by the AAA rules, and the hearing (if any) must take place New York, NY. The arbitrator's ruling is binding and may be entered as a judgment in any court of competent jurisdiction. In the event this agreement to arbitrate is held unenforceable by a court, then the disputes that would otherwise have been arbitrated shall be exclusively brought in the state or federal courts located in New York City, New York. Claims of infringement or misappropriation of the other party's patent, copyright, trademark, or trade secret shall be exclusively brought in the state and federal courts located in New York City, New York.
14.4 Governing Law: This Agreement shall be governed by and construed solely and exclusively in accordance with the laws of the State of New York, USA without giving effect to any law that would result in the application of the law of another jurisdiction.
14.5 Severability: If the prohibition against class actions and other claims brought on behalf of third parties contained above is found to be unenforceable, then all of the preceding language in this Arbitration section will be null and void. This arbitration agreement will survive the termination of your relationship with us.
15. INDEMNITY: The user agrees to indemnify, defend, and hold IPCNY and its respective supervisors, trustees, officers, agents, and employees harmless from all claims, causes, allegations, costs, expenses, fees (including reasonable attorneys' fees), judgments, liabilities, losses, and damages arising from or relating to your use of or operation of the IPCNY Website or any of its Materials.
17. APPLICABLE LAW AND JURISDICTION: These Terms of Service and any amendments thereto shall be governed and construed in accordance with the laws of the State of New York, without regard to principles of conflicts of laws. Any dispute arising out of, in connection with, or related to this Agreement shall be brought in any Federal or State court located in New York County and the State of New York, and the parties hereby waive any objection that they may have to personal jurisdiction in these courts.

INFORMATION COLLECTED AUTOMATICALLY
IPCNY does automatically collect some anonymous “non-personally identifiable” aggregate information about visitors when pages are requested through a browser. This information is used for statistical purposes, to help us monitor how guests navigate our site, allowing us to tailor our services for specific groups of visitors. Non-personally identifiable information may refer to information about our visitors’ browsers (e.g., Netscape Navigator or Internet Explorer), operating systems (e.g., Windows or Macintosh), Internet Service Providers (e.g., AOL, Earthlink, etc.), and other similar information.
IPCNY collects IP addresses as a component of the non-personally identifiable aggregate information. An IP address is a number assigned to your computer by a web server when you’re on the Internet. This information is used only for non-user-specific purposes such as determining how many users visited a specific area of our site. Such information could, if necessary, also be used to identify a user in order to comply with safety and/or security issues or with legal requirements, but only in extraordinary circumstances.

Any personal information provided to IPCNY is maintained and accessible only by IPCNY unless IPCNY explicitly states otherwise.
Marketing and Promotion
If you give us permission, we may use any Personal Data you submit for IPCNY marketing and promotional purposes. For example, on occasion IPCNY sends email to inform users of new exhibitions or other events we think might be of interest to them. If you provide us with your email address, this will be deemed permission for us to email you information about our exhibition, events, and other programs and activities, as well as for any marketing or promotional purposes, including, but not limited to, membership and fundraising appeals. However, you may withdraw this permission using our opt-out procedure. You will not receive such communications unless you have knowingly provided the personal information required. In some cases, you will be required to opt-in by joining a newsgroup or mailing list. If you do opt-in, you will always have the option to opt-out at any time by unsubscribing to that particular list or following the opt-out instructions included within the body of the email message.
When you sign up for a membership online or through any other means, your Personal Data will be entered into the IPCNY’s membership database. IPCNY does not currently share any Personal Data with other organizations, but does use such information as set forth above. WITH WHOM INFORMATION IS SHARED
[IPCNY does not currently share your Personal Data other than to process purchases, donations and memberships through PayPal. IPCNY reserves the right to do so in the future.
IPCNY has teamed up with reputable third-party vendors in order to provide certain services to its online users. IPCNY has taken precautions to ensure that the privacy of its online visitors is protected by any online partners. In cases when users leave IPCNY’s site to visit one of its partners’ sites, users are encouraged to become familiar with the privacy statements of each site they visit.
The IPCNY protects all personal and non-personally identifiable information that it receives via the Internet against unauthorized access. In addition, the IPCNY’s website uses Secure Sockets Layer (SSL) encryption to process purchases made through its online store and ticketing systems. By using this technology, online customers can be confident that their personal information is protected from interception by any third party. Sensitive credit card information is not permanently stored on any IPCNY web server and, though your order information is retained for our records, this information is never shared with other companies or persons.
What is a secure connection? Users may find content on IPCNY’s site that links to the sites and services of our partners, sponsors, or other third parties.
